1. Introduction

These Terms of Service ("Terms") govern your access to and use of hikmicro.co.uk (the "Website"), including any purchases of products or services made through the Website.
The Website is owned and operated by Elite Optical Distribution Limited, trading as HIKMICRO UK ("HIKMICRO UK", "we", "our" or "us").
By accessing our Website, creating an account, placing an order or otherwise using our services, you agree to be bound by these Terms together with our Privacy Policy, Cookie Policy, Shipping Policy, Returns & Refund Policy and Warranty Policy. If you do not agree with these Terms, you should not use this Website.
These Terms apply only to purchases made directly through hikmicro.co.uk. Products purchased through authorised dealers or third-party retailers remain subject to the terms and conditions of those retailers.
Nothing in these Terms affects your statutory rights under the laws of England and Wales, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
2. Definitions
For the purposes of these Terms:

4. Eligibility
To place an order through this Website you must:
- be at least 18 years of age
- have the legal capacity to enter into a binding contract

If you are purchasing on behalf of a business, you confirm that you have the authority to bind that organisation to these Terms.

7. Product Availability
All Products are offered subject to availability.
Stock information shown on the Website is provided in good faith but should not be interpreted as a guarantee of availability.
Where an item becomes unavailable after an order has been placed, we may:
- cancel the order and issue a full refund;
- offer an alternative product of equivalent specification;
- advise you of an expected delivery date and allow you to decide whether to proceed.
We reserve the right to discontinue products or restrict quantities available for purchase at any time.
8. Orders
By placing an order through our Website you are making an offer to purchase Products from us.
Receipt of an automated order confirmation email confirms only that your order has been received. It does not constitute acceptance of your order.
A contract between you and HIKMICRO UK is formed only when we dispatch your Products and send a dispatch confirmation.
We reserve the right to refuse or cancel any order, including where:

- Products are unavailable;
- pricing errors have occurred;
- fraud is suspected;
- export or legal restrictions apply;

Where payment has already been taken for a cancelled order, a full refund will be issued using the original payment method.

Unless otherwise stated:
- all prices are displayed in Pounds Sterling (£);
- prices include UK Value Added Tax (VAT) where applicable;
- delivery charges are shown separately during checkout;
- promotional offers are available only during the advertised period.
Despite our best efforts, pricing errors may occasionally occur.
If a Product has been listed at an incorrect price, we reserve the right to:
- cancel the order before dispatch;
- contact you with the correct price and ask whether you wish to proceed; or
- issue a full refund if payment has already been received.
We are under no obligation to supply Products at an incorrect price where the pricing error is obvious and could reasonably have been recognised as such.
10. Payment
Payment must be successfully authorised before Products are dispatched.
We accept the payment methods displayed during checkout.
Payment processing is provided by trusted third-party payment providers operating secure payment systems.
HIKMICRO UK does not store or have access to your complete payment card details.
Where payment authorisation fails or is subsequently reversed, we reserve the right to suspend or cancel your order.
We may carry out reasonable fraud prevention checks before accepting an order. In certain circumstances we may request additional verification before dispatching Products.
11. Delivery and Shipping
Delivery of Products is subject to our published Shipping Policy, which forms part of these Terms.
Delivery options, estimated delivery times and applicable charges will be displayed during checkout.
Estimated delivery dates are provided in good faith but are estimates only and should not be regarded as guaranteed delivery dates.
Whilst we will use reasonable endeavours to dispatch and deliver Products within the estimated timescales, delays may occur due to circumstances beyond our reasonable control, including but not limited to:
- adverse weather conditions;
- courier delays;
- transport disruption;
- customs procedures (where applicable);
- supply chain disruption;
- industrial action;
- public holidays; or
- other events outside our reasonable control.
Failure to meet an estimated delivery date shall not, in itself, constitute a breach of contract.
If we become aware of a significant delay affecting your order, we will endeavour to notify you using the contact details provided when your order was placed.
12. Delivery Address
You are responsible for ensuring that the delivery address provided at checkout is complete and accurate.
Where an incorrect or incomplete address has been supplied, we cannot accept responsibility for:
- failed deliveries;
- delivery delays;
- additional courier charges;
- products delivered to an incorrect address.
If you need to amend your delivery details after placing an order, please contact Customer Support immediately.
Whilst we will make reasonable efforts to amend your order before dispatch, we cannot guarantee that changes can be made once order processing has commenced.
13. Delivery Acceptance
Certain deliveries, particularly higher-value products, may require a signature upon delivery.
Where a signature is required, the signature of any person accepting delivery at the delivery address shall constitute proof of delivery.
If delivery cannot be completed, the courier may:
- attempt redelivery;
- leave instructions for collection;
- deliver to an authorised collection point; or
- return the Products to us.
Where Products are returned due to unsuccessful delivery attempts, we reserve the right to charge any additional delivery costs incurred before redispatching the order.
14. Risk and Ownership
Risk in the Products passes to you upon delivery to the address specified in your order.
Ownership of the Products transfers only when:
- full payment has been received; and
- the Products have been delivered.
Until ownership transfers, all Products remain the property of Elite Optical Distribution Limited.
15. Inspection Upon Delivery
We recommend that you inspect your order as soon as reasonably practicable after delivery.
If your order:
- appears damaged;
- is incomplete;
- contains incorrect Products; or
- appears to have been tampered with during transit,
please notify us as soon as possible so that we can investigate and provide an appropriate resolution.
Where practical, photographs of the packaging and Products should be retained to assist our investigation.
16. Your Right to Cancel
If you are purchasing as a consumer, you have statutory cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
Unless an exception applies, you may cancel your order within 14 calendar days beginning on the day after you receive the Products.
To exercise your cancellation rights, you must notify us clearly before the cancellation period expires.
Once cancellation has been confirmed, you must return the Products within 14 days.
Refunds will normally be processed within 14 days of:
- receiving the returned Products; or
- receiving satisfactory evidence that they have been returned,
whichever occurs first.
Business customers do not automatically benefit from statutory cancellation rights.
17. Exceptions to the Right to Cancel
Your statutory right to cancel does not normally apply to:
- Products made to your personal specification;
- personalised or customised Products;
- sealed goods which are unsuitable for return for hygiene reasons once unsealed;
- digital software or downloadable content once supply has begun with your express consent; or
- any other Products exempted by applicable legislation.
These exceptions do not affect your rights where Products are faulty, not as described or otherwise fail to comply with your statutory rights.
18. Returns
Returns are governed by our published Returns & Refund Policy.
Products returned under our returns process should:
- include all supplied accessories;
- include manuals and documentation where applicable;
- be appropriately packaged for transport;
- include proof of purchase where requested.
Where Products are returned because you have changed your mind, you are normally responsible for the cost of returning the Products unless otherwise required by law.
Where Products are faulty, damaged, incorrectly supplied or otherwise fail to conform to the Contract, we will arrange an appropriate remedy in accordance with your statutory rights.
19. Faulty Products
If you believe a Product is faulty, please contact Customer Support before returning the Product.
We may request:
- your order number;
- proof of purchase;
- the Product serial number;
- photographs or video of the fault;
- a description of the issue.
In some cases, our technical support team may be able to resolve an issue without the Product being returned.
Where inspection is required, Products may be examined by HIKMICRO UK or an authorised service centre before a repair, replacement or refund is authorised.
Nothing in this section limits your statutory rights under the Consumer Rights Act 2015.
20. Manufacturer's Warranty
Many Products supplied through HIKMICRO UK include a manufacturer's warranty.
The manufacturer's warranty is provided in addition to, and does not replace, your statutory consumer rights.
Warranty eligibility is subject to the applicable warranty terms and may require:
- proof of purchase;
- product serial number verification;
- inspection of the Product; and
- compliance with published warranty conditions.
Where a valid warranty claim is accepted, the Product may, at the manufacturer's discretion:
- be repaired;
- be replaced with an equivalent Product;
- have defective components replaced; or
- receive another appropriate remedy.

21. Product Use
Products purchased through HIKMICRO UK must be used:
- safely;
- responsibly;
- only for their intended purpose;
- in accordance with all supplied instructions;
- in accordance with applicable legislation.
Improper installation, misuse, abuse, unauthorised modification or use outside the intended operating conditions may invalidate the manufacturer's warranty and may affect your statutory rights where the damage results from such misuse.
Customers are responsible for ensuring that they possess the appropriate knowledge and competence to operate Products safely.
22. Compliance with Applicable Laws
Certain Products sold by HIKMICRO UK incorporate advanced thermal imaging, digital imaging, wireless communication or recording technologies.
You are responsible for ensuring that your purchase, possession and use of any Product complies with all laws and regulations applicable in the jurisdiction in which the Product is used.
This includes, where relevant:

- wildlife legislation;

HIKMICRO UK accepts no responsibility for Products used unlawfully or outside their intended purpose.

By purchasing Products from us, you agree that you will not:
- export or re-export Products in breach of applicable laws;
- supply Products to sanctioned individuals or organisations;
- use Products in connection with unlawful military, nuclear, chemical or biological activities where prohibited by law.
We reserve the right to refuse or cancel orders where we reasonably believe export restrictions or sanctions may apply.
Nothing in this section affects our commitment to supplying Products lawfully throughout the United Kingdom and Northern Ireland.
24. Shopify Platform
Our online store is hosted using the Shopify ecommerce platform.
Shopify provides the technology that enables us to display products, process orders and securely complete purchases.
Whilst Shopify provides the underlying ecommerce infrastructure, your contract for the purchase of Products is with Elite Optical Distribution Limited trading as HIKMICRO UK, not Shopify.
We are responsible for the Products we sell, customer service, fulfilment, warranty support and after-sales care.
Certain services provided during checkout, including payment processing, fraud prevention and order security, may be provided through Shopify or approved third-party service providers.
Your use of those services may also be subject to the applicable terms and privacy policies of those providers.
25. Third-Party Services
Our Website may provide access to third-party services or applications that are not owned or controlled by HIKMICRO UK.

Where Products are supplied to business customers, our total aggregate liability arising under or in connection with any Contract shall not exceed the total amount paid for the relevant Products giving rise to the claim, except where liability cannot lawfully be excluded.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer legislation provides otherwise.
